Passing a company resolution
A resolution is a formal agreement made by a meeting of either the company directors or members.
There are essentially two types of resolutions, ordinary and special. Provisions of the Corporations Act 2001 (Cth) require certain decisions to be made by resolution (ordinary) or special resolution. The constitution of a company can also set out specific issues that require an ordinary or special resolution to be passed.
