Abstract:
The Queensland Supreme Court (QSC) has declared that all the resolutions passed at the general meeting of Delta Law Pty Ltd on 10 May 2019 were invalid and of no effect. The QSC found that there was substantial injustice against the Malaysian born solicitor, who acted as the sole director of Delta Law Pty Ltd, for being removed as director in a meeting he was not even informed of what was for. The QSC found that there was no quorum at the meeting and all the resolutions purportedly passed were invalid and that the proxies given to the fifth respondent, a non party to the present proceedings and the director of the second respondent were invalid.
