Abstract:
The High Court of Australia (HCA) has dismissed the appeal of two companies, incorporated to conduct a mortgage aggregation business, which were enjoined from continuing legal proceedings at their expense to vindicate alleged pre-emptive rights of their shareholders to be offered for purchase shares in the companies, which rights the companies allege had been breached. The HCA held that Court of Appeal of the Supreme Court of Victoria was correct to conclude that the (CTH) Corporations Act 2001 s 260A(1) was contravened and that an injunction must be issued.
